By accessing or using Ship Poster ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We may update these Terms from time to time. Your continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

Ship Poster is an AI-powered marketing platform that helps users create, schedule, and publish social media content. The Service includes:

AI-generated text content for social media posts
AI-generated images using third-party providers
Content scheduling and calendar management
Publishing to connected social media platforms
Brand and campaign management tools

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use the Service.

4. Subscriptions and Billing

Ship Poster offers subscription plans with different features and credit allocations. By subscribing, you agree to:

Pay the applicable subscription fees in advance
Automatic renewal at the end of each billing period unless canceled
Provide valid payment information through Stripe, our payment processor

Credits: Your subscription includes monthly AI image generation credits. Unused credits roll over up to a maximum of 2x your monthly allocation. Credits are non-transferable and have no cash value.

Trial Credits: New users receive 5 free trial credits. These are one-time credits to help you evaluate the Service.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to use the Service to:

Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Create content that infringes on intellectual property rights of others
Generate misleading, deceptive, or fraudulent content
Produce content that promotes discrimination or hatred
Create content depicting illegal activities or harmful substances
Circumvent or attempt to circumvent usage limits or access controls
Resell, sublicense, or commercially redistribute generated content as a service
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service

We reserve the right to suspend or terminate accounts that violate these terms without refund.

6. AI-Generated Content

The Service uses artificial intelligence to generate text and images. You acknowledge that:

AI-generated content may not always be accurate, appropriate, or suitable for your purposes
You are responsible for reviewing and approving all content before publishing
AI outputs may occasionally produce unexpected or unintended results
We do not guarantee that generated content will achieve specific marketing results

Content Ownership: Subject to these Terms, you retain ownership of the content you create using the Service, including AI-generated text and images. However, you grant us a license to store, process, and display your content as necessary to provide the Service.

7. Third-Party Services

The Service integrates with third-party platforms and services, including:

Social media platforms (Instagram, Facebook, X/Twitter, LinkedIn, etc.)
AI providers (OpenAI, Google Gemini)
Payment processing (Stripe)
Publishing services (LATE API)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or policies of third-party services.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Ship Poster and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIP POSTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ship Poster and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in the United States.
